Taka Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Taka Inc. ("Taka," "we," "us," or "our") and govern your use of taka.online, our games, apps, and related services, and your purchase of our physical board (together, the "Service").
By using the Service or creating an account, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Service.
Section 19 requires most disputes to be resolved by binding arbitration on an individual basis and waives your right to a jury trial and to participate in class actions. Please read it carefully.
1. Who we are The Service is provided by Taka Inc., 1749 Wellesley Drive, Santa Monica, CA 90405. You can reach us at info@taka.online.
2. Eligibility and age You must be at least 13 years old to use the Service. The Service is not directed to, and is not intended for, children under 13, and we do not knowingly allow anyone under 13 to create an account or use the Service. If we learn that someone under 13 has created an account, we will close it.
If you are at least 13 but under the age of majority where you live, you may use the Service only with the involvement and consent of a parent or guardian, who agrees to be bound by these Terms on your behalf.
3. The Service is offered from the United States The Service is operated from the United States and intended for users in the United States. We make no representation that the Service is appropriate or available for use in other locations. If you access the Service from outside the United States, you do so on your own initiative and are responsible for complying with the laws that apply to you.
4. Your account You are responsible for your account and for keeping your password secure. You agree to provide accurate information and to keep it current. You are responsible for all activity that happens under your account. Notify us promptly at info@taka.online if you suspect unauthorized use. You may not share, sell, or transfer your account.
5. License to use the Service We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial enjoyment, subject to these Terms. We may change, suspend, or discontinue any part of the Service at any time.
6. Fair play Taka is a game of skill. In rated games and competitive play, you agree not to use any outside assistance, including other people, software, engines, or bots, and not to manipulate results, collude, sandbag, or use multiple accounts to gain an unfair advantage. We may review games and accounts for fair play, and we may adjust ratings, reverse results, withhold prizes, or suspend or close accounts that we determine have violated this section.
7. Acceptable use You agree not to: - break the law or infringe anyone's rights while using the Service; - harass, abuse, threaten, impersonate, or harm others; - post or transmit content that is unlawful, hateful, obscene, or otherwise objectionable; - cheat, exploit bugs, or interfere with the normal operation of the Service; - use bots, scrapers, or other automated means to access the Service except as we expressly permit; - attempt to gain unauthorized access to the Service, other accounts, or our systems; - reverse engineer, decompile, copy, or resell any part of the Service except to the extent the law allows.
We may investigate and take any action we consider appropriate for a violation, including removing content and warning, suspending, or closing accounts.
8. Usernames and user content You are responsible for your username and for anything you submit through the Service. Do not choose a username, or submit content, that is offensive, infringing, misleading, or that impersonates others. We may remove or change content or usernames that violate these Terms.
For any content you submit, you grant Taka a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, and display that content as needed to operate and improve the Service. You represent that you have the rights to grant this license.
9. Feedback If you send us ideas, suggestions, or feedback about the Service, we may use them freely, without any obligation or compensation to you.
10. Intellectual property The Service, including the Taka game, its rules, design, software, text, graphics, look and feel, and the Taka name and logo, is owned by Taka Inc. and protected by copyright, trademark, and other laws. Taka is a registered trademark of Taka Inc. Except for the license in Section 5, we grant you no rights in our intellectual property, and you may not use our name, logo, or trademarks without our prior written permission.
11. Copyright complaints If you believe content on the Service infringes your copyright, contact us at info@taka.online with enough detail to identify the work and the allegedly infringing material, your contact information, and a statement of your good-faith belief that the use is not authorized. We respond to valid notices consistent with the Digital Millennium Copyright Act.
12. Purchases, the physical board, and pre-orders We offer a physical board for sale and pre-order. Prices, availability, and estimated delivery timing are shown at checkout and may change. Payments are processed by our third-party payment provider, which acts as merchant of record, and your purchase is also subject to that provider's terms.
Pre-orders are charged at the time of order. Estimated delivery dates are estimates, not guarantees. You may cancel a pre-order at any time before it ships for a full refund. Once an order has shipped, you may return the board unused and in its original condition within 30 days of delivery for a refund of the purchase price, less return shipping. We currently ship within the United States; shipping options and estimated delivery times are shown at checkout. Risk of loss and title pass to you on delivery. You are responsible for any taxes or duties that apply to your order.
13. Ratings, rankings, and in-game items have no monetary value Ratings, rankings, badges, in-game items, prizes, and account standing have no monetary value, are not your property, cannot be exchanged for money, and may be changed, reset, withheld, or removed.
14. Termination You may stop using the Service and close your account at any time. We may suspend or close your account, and remove content, with or without notice, if you violate these Terms, or if we reasonably believe it is necessary to protect the Service, other users, or us. On termination, the license in Section 5 ends. Any provisions that by their nature should survive termination will survive, including those on user content licenses, feedback, intellectual property, the no-monetary-value of items, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.
15. Disclaimers The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that results or ratings will be accurate or reliable.
16. Limitation of liability To the fullest extent permitted by law, Taka Inc. and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of the total amount you paid us in the twelve months before the claim arose, or one hundred US dollars (USD 100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
17. Indemnification You agree to indemnify, defend, and hold harmless Taka Inc. and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Service, your content, or your violation of these Terms or of any law or third-party right, to the fullest extent permitted by law.
18. Governing law These Terms are governed by the laws of the State of California and applicable United States federal law, without regard to conflict of laws principles. For any dispute that is not subject to arbitration under Section 19, and to enforce an arbitration award or seek the equitable relief described in Section 19, the state and federal courts located in California will have exclusive jurisdiction, and you consent to personal jurisdiction and venue in those courts.
19. Dispute resolution, arbitration, and class action waiver Please read this section carefully. It affects your rights. It requires most disputes to be resolved by binding arbitration on an individual basis, and it waives your right to a jury trial and to participate in class actions. The Federal Arbitration Act governs the interpretation and enforcement of this section.
Informal resolution first. Before starting an arbitration, you agree to contact us at info@taka.online, describe your dispute, and give us 60 days to try to resolve it informally.
Binding arbitration. If we cannot resolve a dispute informally, you and Taka Inc. agree that any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except as stated below. The arbitration will be held in California, or by telephone or video, or decided on written submissions, before a single arbitrator. Judgment on the award may be entered in any court with jurisdiction.
Exceptions. Either party may bring an individual claim in small claims court if it qualifies. Either party may also ask a court for injunctive or other equitable relief to stop actual or threatened infringement, misuse, or unauthorized use of the Service or intellectual property. Doing so does not waive this arbitration agreement.
Class action waiver. You and Taka Inc. agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding. If this class action waiver is found unenforceable as to a particular claim or remedy, then only that claim or remedy will be severed and may proceed in court, while all other claims proceed in arbitration.
Your right to opt out. You may opt out of this arbitration agreement and class action waiver within 30 days of first accepting these Terms by emailing info@taka.online with your name, your account username, and a clear statement that you want to opt out of arbitration. Opting out will not affect any other part of these Terms.
Jury trial waiver. If for any reason a dispute proceeds in court rather than arbitration, you and Taka Inc. each waive any right to a jury trial.
